Terms & Conditions

Effective Date: 24 August 2026

1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the website, software, technology solutions, and related services provided by StayHappy Solutions Private Limited ("StayHappy Solutions", "we", "us", or "our").

By accessing our website, submitting an enquiry, engaging our services, entering into a proposal, quotation, statement of work, service agreement, or other written arrangement with us, you agree to be bound by these Terms to the extent applicable to the relevant interaction or service.

If you do not agree with these Terms, please do not use our website or services.

2. Scope of Services

StayHappy Solutions provides software development and technology-related services, which may include custom software development, web and mobile application development, software consulting, system integration, maintenance, technical support, and other technology services.

The exact scope, deliverables, timelines, fees, dependencies, acceptance criteria, support arrangements, and other commercial terms for a project may be specified in a separate proposal, quotation, statement of work, service agreement, purchase order, or other written agreement.

Where a separate written agreement applies to a particular service, that agreement will govern the relevant project or service to the extent of any inconsistency with these Terms.

3. Website Use

You agree to use our website only for lawful purposes and in a manner that does not:

We may restrict or suspend access where we reasonably believe that these requirements have been violated or where necessary to protect our systems, users, or legal interests.

4. Client Responsibilities

Where you engage us for a project or service, you are responsible for providing accurate and timely information, materials, access credentials, approvals, feedback, and other inputs reasonably required for us to perform the agreed services.

Delays caused by missing information, delayed approvals, changes in requirements, third-party dependencies, or other matters outside our reasonable control may affect project schedules and delivery dates.

You are responsible for ensuring that any content, data, software, trademarks, documents, or other materials supplied by you may lawfully be used for the relevant project.

5. Proposals, Quotations and Project Changes

Quotations and proposals are based on the requirements and assumptions stated in the applicable document. Unless expressly stated otherwise, a quotation does not constitute an unconditional commitment to perform work outside the agreed scope.

Requests for additional features, revisions, integrations, changes in specifications, or other work outside the agreed scope may result in additional fees, revised timelines, or both.

Material changes to scope or commercial terms should be confirmed in writing before the additional work is undertaken.

6. Fees, Invoicing and Payments

Fees, payment schedules, taxes, milestones, and payment methods will be specified in the applicable quotation, invoice, statement of work, service agreement, or other commercial document.

7. Intellectual Property

Unless otherwise agreed in writing, StayHappy Solutions retains ownership of its pre-existing software, source code, frameworks, libraries, templates, utilities, tools, know-how, methodologies, processes, documentation, and other materials developed or owned independently of a particular client project.

Ownership or licensing of project-specific deliverables will be determined by the applicable written agreement and, where relevant, by completion of the agreed payment obligations.

You must not copy, modify, distribute, reverse engineer, resell, or commercially exploit our proprietary materials except to the extent expressly permitted by a written agreement or applicable law.

8. Client Content and Data

You retain responsibility for the legality, accuracy, and rights relating to content and data that you provide to us or instruct us to process.

We will handle personal data and other information in accordance with applicable law and our Privacy Policy, together with any applicable contractual data-processing or confidentiality obligations.

You should not provide sensitive credentials, confidential information, or personal data unless it is reasonably necessary for the requested service and appropriate safeguards are in place.

9. Confidentiality

Each party may receive confidential or proprietary information belonging to the other party in connection with a business or project relationship. The receiving party should use such information only for the relevant purpose and take reasonable measures to prevent unauthorized disclosure.

Confidentiality obligations do not generally apply to information that is publicly available without breach, was lawfully known before disclosure, is independently developed without use of confidential information, or is required to be disclosed by law or lawful authority.

Where a separate non-disclosure agreement or confidentiality agreement applies, its terms will govern the relevant confidential information.

10. Third-Party Services and Dependencies

Our services may depend on third-party platforms, hosting providers, payment processors, APIs, software libraries, app stores, domain registrars, cloud services, or other external services.

Third-party services are subject to their own terms, policies, availability, pricing, and technical limitations. We are not responsible for failures, changes, suspensions, or discontinuation of third-party services that are outside our reasonable control.

11. Delivery, Testing and Acceptance

Project delivery will be based on the milestones, specifications, and acceptance criteria agreed for the applicable project.

You are expected to review delivered work within a reasonable period and provide timely feedback regarding material defects or deviations from the agreed specifications. Minor variations that do not materially affect the agreed functionality may not constitute a failure to deliver.

Unless otherwise agreed in writing, requests that materially change the approved requirements may be treated as change requests rather than defects.

12. Maintenance and Support

Ongoing maintenance, updates, bug fixes, monitoring, hosting, technical support, and service-level commitments are provided only where included in the applicable service agreement or support plan.

Support does not automatically include new features, major redesigns, third-party changes, or work outside the agreed support scope.

13. Warranties and Service Availability

We will use reasonable professional care and skill in providing agreed services. Unless expressly stated in a written agreement, we do not guarantee that the website, software, or services will always be uninterrupted, error-free, completely secure, or compatible with every third-party system or device.

Information provided on our website is for general informational purposes and does not constitute a guarantee of a particular business, technical, financial, or commercial outcome.

14. Limitation of Liability

To the maximum extent permitted by applicable law, StayHappy Solutions will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, goodwill, or data arising from the use of our website or services, except to the extent such exclusion is not permitted by law.

Where a separate written agreement contains a negotiated limitation of liability, that provision will apply to the relevant services.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold StayHappy Solutions and its personnel harmless from third-party claims, losses, liabilities, and reasonable expenses arising from your unlawful use of our services, violation of these Terms, or infringement of third-party rights through materials or instructions supplied by you.

This provision does not apply to the extent that a claim is caused by our own breach of applicable law or an applicable written agreement.

16. Suspension and Termination

We may suspend or terminate access to the website or services where reasonably necessary due to misuse, security concerns, non-payment, material breach, legal requirements, or other circumstances permitted under the applicable agreement or law.

Termination of a project or service will be handled according to the applicable written agreement. Accrued payment obligations, intellectual property rights, confidentiality obligations, limitations of liability, and other provisions intended to survive termination will continue as applicable.

17. Force Majeure

We will not be responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, acts of government, war, civil disturbance, widespread internet or infrastructure failures, epidemics, labour disruptions, cyber incidents affecting critical third-party infrastructure, or other events that could not reasonably have been prevented or avoided.

18. Third-Party Links

Our website may contain links to third-party websites or services. These links are provided for convenience and do not constitute an endorsement or guarantee of those third parties.

Third-party websites operate under their own terms and privacy policies. We are not responsible for their content, availability, security, or business practices.

19. Privacy

Our collection and handling of personal data is described in our Privacy Policy. By using our website or providing personal information, you acknowledge that information may be handled as described there, subject to applicable law.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles to the extent applicable.

Subject to any applicable statutory rights and any dispute-resolution mechanism agreed in writing between the parties, courts having appropriate jurisdiction in Odisha, India, will have jurisdiction over disputes arising from these Terms or the relevant services.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, technology, or applicable legal and regulatory requirements.

Updated Terms will be published on this page with a revised effective date where appropriate. Your continued use of the website after an update may constitute acceptance of the revised Terms to the extent permitted by applicable law.

22. Severability and Waiver

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to the extent permitted by law.

A failure to enforce any provision of these Terms does not constitute a permanent waiver of that provision or our right to enforce it later.

23. Entire Agreement

These Terms, together with any applicable proposal, quotation, statement of work, service agreement, purchase order, privacy policy, or other written terms expressly incorporated into the relationship, constitute the applicable understanding between the parties concerning the relevant subject matter.

Where there is a conflict between these Terms and a specific written agreement signed or accepted by the parties, the specific agreement will prevail for the relevant service or project.
